1. The service and agreement

Serilo provides software for repair jobs, stock, customer records, counter sales, and shop administration. These are proposed launch terms. A paid subscription will begin only after an offer identifies the service provider, plan, fees, and billing period and an authorised representative accepts that offer and the applicable terms.

Submitting an access request does not create a paid subscription or authorise a payment. The service is initially offered to businesses operating in Sri Lanka. Users must be at least 18 and authorised to act for the relevant business.

The accepted order, these Terms, and the incorporated Data Processing Agreement govern the service. The DPA controls a conflict about processing shop personal data; an accepted order controls its expressly agreed commercial details. A mandatory legal requirement prevails over any inconsistent wording.

2. Accounts and authorised users

The shop must provide accurate account information, keep its contact details current, and appoint an authorised administrator. Administrators manage staff access, branch permissions, devices, and removal of access when a person leaves.

Keep account passwords and staff PINs confidential. Use individual staff access where available and report suspected compromise promptly to serilo.app@gmail.com. An administrator’s permissions do not remove Serilo’s responsibility to protect the service.

Serilo may review an access request before activating it. We may request proportionate evidence of authority or investigate an account associated with misuse.

3. Responsibilities for shop operations

The shop is responsible for its repair and retail contracts, customer notices and permissions, staff management, licences, tax status, prices, estimates, warranty promises, returns, and legally required recordkeeping.

Use the software’s tax and document settings only after checking they suit the business. An invoice generated by Serilo does not by itself establish tax compliance. A TRCSL status entry, warning, or supervisor override does not grant a licence, certify a device, or legalise a restricted transaction.

Serilo supplies the software and remains responsible for its own contractual and legal obligations. It is not the repairer or seller in the shop’s transaction merely because its software generates the document.

4. Acceptable use

  • Use Serilo only for activities you are entitled to carry out. Do not upload unlawfully obtained information, false ownership claims, or records used to facilitate unlawful trade.
  • Do not access another shop’s data, bypass access controls, share supervisor credentials, interfere with security, or extract information without authority.
  • Do not use customer information for spam, unlawful surveillance, identity misuse, or unrelated marketing without the required lawful ground and permissions.
  • Collect device unlock details only where needed for an authorised repair. Do not store unrelated account passwords, banking credentials, one-time passwords, or card security codes.
  • Do not upload unnecessary health, biometric, criminal-history, or other sensitive information into general notes. Obtain a specific lawful arrangement before using the service for unusually sensitive processing.
  • Report a suspected security issue privately and avoid viewing, changing, or downloading other people’s information.

5. Your records and our software

The shop retains its rights in its business records and grants Serilo the limited permission needed to host, process, protect, and return them in providing the service. This permission does not transfer ownership of a person’s information or override that person’s legal rights.

Serilo retains its rights in the software, branding, and original service materials. During authorised access, the shop receives permission to use the agreed service for its business. Third-party rights remain with their respective owners.

The Privacy Notice explains platform processing, and the DPA describes processing carried out for the shop. Customer records are not licensed for unrelated advertising or general-purpose AI training.

6. Monthly and annual subscriptions

Monthly and annual plans are planned. Prices, included features, limits, tax treatment, payment methods, and any trial or promotional terms will be provided before acceptance. No price, free trial, discount, or annual saving is promised by this draft.

Recurring renewal requires clear prior disclosure and your authorisation. If renewal is manual, we will identify how and when to renew. Cancellation stops the next authorised renewal; it does not automatically reverse a payment or delete business records.

The Subscription, Cancellation & Refund Policy forms part of the accepted commercial arrangement. A price change applies prospectively after notice and any acceptance required by law; it does not retrospectively change an agreed prepaid period.

7. Availability, support, and changes

Contact serilo.app@gmail.com for support. We will handle requests according to their nature and the support terms agreed for the plan. This draft does not promise a particular response time, 24-hour support, guaranteed recovery time, or an uptime percentage.

We will use reasonable care in providing the agreed service. Maintenance, faults, internet failures, and other interruptions may occur. We will give reasonable advance notice of planned material disruption where practical.

The shop should maintain a practical continuity procedure for accepting repairs and recording transactions during an outage. That responsibility does not release Serilo from its own agreed service or data-protection duties.

Material reductions to an agreed paid service will be communicated before they take effect. Where Serilo cannot continue providing the paid service, the termination and refund provisions below apply.

8. Suspension, termination, and access to records

We may restrict access where reasonably necessary to address a security incident, unlawful activity, a valid legal requirement, material misuse, or an unresolved payment default under an accepted plan. Where practical, we will explain the reason, allow a reasonable opportunity to remedy it, and limit restrictions to what is necessary.

An authorised shop representative may request cancellation or termination by emailing us. Account termination, subscription cancellation, withdrawal of marketing consent, and deletion of a particular person’s information are separate requests.

Before paid service begins, the order must set out the period and method for obtaining the shop’s records after termination and the subsequent deletion arrangements. Serilo must not advertise an automatic full export or deletion feature that is not available.

Where we end a prepaid service for reasons other than the shop’s material breach, unused prepaid service fees will be refunded in accordance with the Refund Policy. A legal preservation requirement may apply to particular records, with access restricted appropriately.

9. Responsibility and remedies

Each party is responsible for losses caused by its own breach to the extent established under applicable law. We do not promise that software will eliminate theft, repair disputes, accounting mistakes, or every security incident.

To the extent Sri Lankan law permits, neither party is responsible for indirect or consequential losses that were not reasonably foreseeable when the agreement was made. This does not exclude direct loss merely because it concerns business records or restoration.

Nothing in these Terms excludes or limits liability for fraud, deliberate wrongdoing, or any obligation, liability, consumer protection, or remedy that cannot lawfully be excluded. These Terms do not waive a data subject’s statutory rights. No general monetary liability cap is introduced by this draft.

10. Sri Lankan law, complaints, and updates

The accepted agreement is governed by Sri Lankan law. Contact serilo.app@gmail.com with a complaint and sufficient detail for us to investigate. We will seek to resolve it fairly. You may use any competent court, authority, or other remedy available under applicable law; contacting us first does not shorten a statutory deadline.

We will identify the effective version of the terms before acceptance, preserve the applicable version, and notify users of material changes. An update will not retrospectively remove an accrued right or substitute for consent or acceptance where required.

The current draft is in English. Assistance or a translation may be requested. We do not represent that clicking a link alone executes a DPA or that a staff member without authority can bind the shop to a paid subscription.
